These terms cover Embedara's referral program. They apply the moment you're approved and issued a referral link. They're written to be read rather than to survive a courtroom, but they are the actual agreement — if something here turns out to matter, this is the version that counts.
The short version. Someone clicks your link. Within 90 days they become a paying client. You get 10% of everything they pay Embedara for the next twelve months, paid monthly on 30-day terms, minimum $50 per payout. If they get a refund, that commission comes back off.
Section 1Who this is between
"Embedara" means Embedara, a business based in Idaho. "You" means the person or business approved into the referral program. "Referred client" means a business that becomes a paying Embedara client through your link.
You're an independent participant in a referral program. This isn't employment, a partnership, a joint venture, or an agency relationship. You can't sign anything on Embedara's behalf, quote prices, make promises about results, or represent yourself as working for Embedara.
Section 2Commission rate and duration
Standard rate: 10% of the amount a referred client actually pays Embedara, for twelve months from that client's first payment.
Founder Partner rate: 20%, same twelve months. This rate is part of the Front Office partner seat and is limited to five businesses. It applies only while you hold that seat on an active annual plan. If the seat lapses or converts to month-to-month, your rate returns to 10% — including on referrals you made earlier, from the date of the change forward. Commissions already paid are not recalculated.
Commission is calculated on the amount received, after any discount and excluding tax. It doesn't apply to pass-through costs billed at cost, such as message usage or per-minute charges beyond an included allowance.
The twelve months run from the client's first payment, not from your click and not from your approval. If the client cancels in month five, you were paid for five months and the commission ends there. There is no renewal and no lifetime rate.
Section 3Attribution — how a referral gets tied to you
When someone opens your referral link, a cookie is stored in their browser. If they become a paying client within 90 days of that click, the sale is credited to you.
Some plain facts about how that actually behaves, because pretending otherwise helps nobody:
- Last click wins. If someone clicks your link and later clicks a different participant's link before buying, the most recent click gets the credit.
- It's tied to a browser, not a person. If they click on their phone and buy on a desktop, or clear their cookies, or use private browsing, the attribution can be lost. This is true of every referral program on the internet and there is no way around it.
- The click has to come first. A name mentioned to Embedara without a click isn't a tracked referral. Tell us anyway and we'll look at it, but it's a judgment call rather than a right.
Where attribution is genuinely unclear, Embedara decides, and will explain the reasoning. Where two participants have a reasonable claim, we'd rather split it than argue about it.
Section 4What counts as a qualifying sale
A qualifying sale is a new client who clicked your link, wasn't already a client or already in an active sales conversation with Embedara, and paid an invoice that hasn't been refunded.
These do not qualify:
- Your own business, or a business you own part of, control, or work for.
- A business that was already an Embedara client, or that had already booked a call or been quoted before your link was clicked.
- A second purchase by an existing referred client after their twelve months have run out.
- Anything obtained by creating accounts, using a different name, or having someone click on your behalf to manufacture attribution.
Section 5How you may and may not promote
Share your link however you'd share anything else — text it, email it, post it, put it in a group you're part of, mention it on a podcast. The restrictions are short and they exist because each one costs real money or real reputation:
- No paid search on Embedara's name. Don't bid on "Embedara" or close variants in Google Ads, Bing, or anywhere else. That traffic was already coming to us; buying it and billing us for it is a transfer, not a referral.
- No domains or profiles that look like Embedara. No embedara-something.com, no accounts that read as official.
- No spam. No unsolicited bulk email or SMS, no purchased lists, no automated posting. If a platform would call it spam, so do we.
- No promises we haven't made. Don't invent guarantees, results, or prices. Everything published on embedara.com is fair game; anything else isn't.
- Say that you're paid. If you recommend Embedara publicly, disclose that you earn a commission. The FTC requires it and it's the decent thing anyway.
- No coupon, cashback, or deal sites without asking first.
Section 6Payouts
- Method: sent manually, by bank transfer, PayPal, or Wise. We'll agree which one when you're approved. There's no gateway for you to sign up to.
- Schedule: monthly, on 30-day terms. Commissions earned during a calendar month become due 30 days after that month ends — so commissions earned in March are due at the end of April. The 30 days exist so refunds and chargebacks have time to surface before money leaves.
- Minimum: $50. Below that, the balance rolls forward to the next month. It doesn't expire.
- Currency: US dollars.
- Fees: Embedara covers the cost of sending the payout. Anything your own bank charges to receive it is yours.
Tax
You're responsible for your own taxes. Embedara will request a W-9 (or W-8BEN if you're outside the US) before your first payout, and will issue a 1099 if you're paid $600 or more in a calendar year. Payouts can be held until the form is on file — that's a legal requirement rather than a preference.
Section 7Clawbacks
If a payment that generated a commission is refunded, reversed, or charged back, that commission is reversed. It comes off your next payout, or is invoiced to you if there's no future payout to take it from.
Commission is also reversed on any sale found to have breached Section 4 or Section 5 — self-referral, manufactured attribution, brand bidding, and so on.
Those two situations are the entire list. Embedara will not claw back a commission because a client became difficult, because the program changed, or because a referral turned out to be less profitable than expected. Once a payment has cleared its 30-day hold and been paid to you, it stays paid.
Section 8Reporting and disputes
You get access to a portal showing clicks, referred clients, commissions, and payouts, with dates and amounts. Embedara's records are what payouts are calculated from.
If something looks wrong, raise it within 60 days of the payout in question and we'll go through it, including the underlying payment. Raise it later and we'll still look, but reconstructing old records gets harder and we may not be able to.
Section 9Confidentiality
Client names, deal sizes, and anything else you learn about Embedara's clients through the portal stay between us. Don't publish a referred client's name as a case study without their permission and ours.
Section 10Ending it
Either side can leave at any time, in writing, for any reason.
If you leave, or Embedara closes the program: commissions already earned on existing referred clients keep running for the remainder of their twelve months. New referrals stop counting from the termination date. Changing the terms of money already earned is how programs like this get a bad name, and it isn't happening here.
If Embedara terminates you for breaching Section 4 or Section 5 — fraud, manufactured referrals, brand bidding, spam — unpaid commissions are forfeited and paid commissions on affected sales may be reclaimed. This is the one case where earned money can be pulled back, and it applies to deliberate abuse, not to an honest mistake.
Section 11Changes to these terms
Embedara may update these terms. Changes take effect 30 days after participants are notified by email, and they apply going forward only. Commissions already running on existing referred clients finish out under the terms they started on.
If a change doesn't suit you, leave — Section 10 protects what you've already earned.
Section 12Liability and governing law
Embedara's total liability under these terms is limited to the commissions owed to you. Neither side is liable to the other for indirect or consequential losses.
These terms are governed by the laws of the State of Idaho.
